These Terms of Use ("Terms" govern your access to and use of the services, websites, platform, mobile, apps, content, and related services (collectively, the "Services") provided by SugarSnap Media Inc. ("SugarSnap Media" "we," "us," or "our"). Please read carefully before using the Services.
1. Acceptance of Terms
1.1 Acceptance of Terms By accessing or using the Services in any manner, including browsing the website, creating an account, submitting ideas, concepts, stories, artwork, creative materials, or other content, applying for or participating in any creator program, cohort, development initiative, collaborative project, pilot production opportunity, or otherwise interacting with the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use, as well as any additional terms, policies, guidelines, submission terms, participation terms, program terms, or other agreements referenced herein or made available through the Services.
If you do not agree to these Terms of Use, you must not access or use the Services.
Certain features, services, programs, opportunities, submissions, collaborations, development initiatives, pilot productions, or other activities offered through the Services may be subject to additional terms, including submission guidelines, creator program terms, participation agreements, development agreements, collaboration agreements, content licenses, or other supplemental terms (collectively, "Additional Terms"). In the event of any conflict or inconsistency between these Terms of Use and any Additional Terms, the Additional Terms shall control with respect to the applicable feature, service, program, opportunity, or relationship.
We reserve the right, in our sole discretion and without notice or liability, to suspend, restrict, terminate, or deny access to the Services, remove content, reject submissions, remove participants from any program or initiative, modify or discontinue any program, opportunity, or feature, or otherwise limit participation in the Services if you violate these Terms of Use or engage in conduct that we determine is unlawful, harmful to the Services, our business, our collaborators, program participants, or other users, or otherwise inconsistent with the intended purpose of the Services.
1.2 Eligibility The Services are intended solely for individuals who are at least eighteen (18) years of age or the age of majority in their jurisdiction of residence, whichever is greater.
By accessing or using the Services, creating an account, or submitting any ideas, concepts, stories, artwork, creative materials, or other content through the Services, you represent and warrant that you satisfy the foregoing eligibility requirements and have the legal capacity to enter into these Terms of Use.
The Services are not directed to or intended for use by minors. Individuals under the age of eighteen (18) may not access, use, register for, or submit content through the Services.
SugarSnap Media reserves the right to refuse access to the Services, suspend or terminate accounts, remove content, or require age verification at any time if it reasonably believes a user does not satisfy the eligibility requirements set forth herein.
1.3 Authority and Capacity By accessing or using the Services, creating an account, or submitting any ideas, concepts, stories, artwork, creative materials, or other content through the Services, you represent and warrant that: (i) you satisfy the eligibility requirements set forth in these Terms; (ii) you possess the full right, power, capacity, and authority to enter into and comply with these Terms; (iii) your use of the Services and any content, materials, or submissions you provide through the Services do not violate any applicable law, regulation, court order, or contractual obligation; and (iv) all information you provide to SugarSnap Media is accurate, current, and complete.
If you access or use the Services on behalf of a corporation, partnership, limited liability company, organization, or other legal entity, you represent and warrant that you are duly authorized to bind such entity to these Terms, in which case references to "you" shall refer to both you and such entity.
1.4 Modifications to Terms SugarSnap Media reserves the right to modify, amend, or update these Terms of Use at any time in its sole discretion. When we do so, we will update the "Last Updated" date appearing at the top of these Terms or otherwise provide notice as required by applicable law.
Any modifications will become effective upon posting, unless otherwise specified. Your continued access to or use of the Services following the effective date of any modified Terms constitutes your acceptance of the revised Terms.
If you do not agree to any modified Terms, you must immediately discontinue use of the Services and, where applicable, cease submitting content, materials, ideas, concepts, stories, artwork, or other submissions through the Services.
SugarSnap Media reserves the right to modify, suspend, discontinue, or restrict access to any aspect of the Services at any time, with or without notice and without liability to you.
2. Intellectual Property; Limited License to Use the Services
2.1 Ownership of Services and Content The Services, including the website, software, functionality, design, user interface, text, graphics, logos, trademarks, service marks, audiovisual content, editorial content, and other materials made available by SugarSnap Media through the Services (collectively, the "SugarSnap Content"), and the selection, arrangement, and compilation thereof, are owned by or licensed to SugarSnap Media and are protected by applicable copyright, trademark, trade secret, and other intellectual property laws.
As between you and SugarSnap Media, SugarSnap Media retains all right, title, and interest in and to the Services and the SugarSnap Content, including all intellectual property and proprietary rights therein. Except for the limited rights expressly granted under these Terms of Use, no right, title, license, or interest in or to the Services or SugarSnap Content is granted, transferred, or assigned to you by implication, estoppel, or otherwise.
For the avoidance of doubt, ownership and treatment of ideas, concepts, stories, artwork, creative materials, pitches, and other content submitted by users through the Services are governed by the Submission Terms and other applicable provisions of these Terms of Use.
2.2 Limited License to Access the Services Subject to your compliance with these Terms of Use and all applicable laws, SugarSnap Media grants you a limited, non-exclusive, revocable, non-transferable, and non-sublicensable license to access and use the Services solely for your personal use and for the purposes contemplated by the Services, including creating an account, exploring content, submitting ideas, concepts, stories, artwork, creative materials, and other submissions, applying for or participating in creator programs, cohorts, development initiatives, collaborative projects, pilot production opportunities, and other activities expressly authorized by SugarSnap Media.
This license is limited to accessing and using the functionality of the Services as expressly permitted by SugarSnap Media. Except as expressly authorized by these Terms of Use, you may not copy, reproduce, distribute, publicly display, publicly perform, modify, create derivative works from, sell, license, exploit, reverse engineer, scrape, or otherwise use any portion of the Services or any SugarSnap Content.
Nothing in these Terms grants you any right to participate in any creator program, cohort, development initiative, collaborative project, pilot production opportunity, or other SugarSnap Media opportunity. Participation in any such program or opportunity is subject to SugarSnap Media's approval and any applicable Additional Terms.
All rights not expressly granted herein are reserved by SugarSnap Media.
2.3 No Rights to Content Except as expressly permitted under these Terms of Use, your access to or use of the Services does not grant you any ownership interest in, license to, or other rights with respect to any SugarSnap Content.
Any rights to use, reproduce, distribute, display, publish, modify, create derivative works from, license, exploit, or otherwise utilize any SugarSnap Content must be expressly granted in a separate written agreement executed by SugarSnap Media.
Absent such written authorization, you may not download, copy, reproduce, distribute, publicly display, publicly perform, publish, modify, sell, license, exploit, or otherwise use any SugarSnap Content for any purpose.
For the avoidance of doubt, this Section applies solely to SugarSnap Content. The ownership and treatment of user-submitted ideas, concepts, stories, artwork, creative materials, and other submissions are governed by the Submission Terms and other applicable provisions of these Terms of Use.
2.4 Restrictions on Use You may not, and may not permit any third party to:
- Copy, reproduce, republish, distribute, transmit, display, perform, sell, license, or otherwise exploit the Services or any SugarSnap Content;
- Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based upon the Services or any SugarSnap Content;
- Attempt to derive, discover, access, or obtain the source code, object code, underlying ideas, algorithms, structure, or organization of the Services;
- Use any robot, spider, scraper, crawler, data mining tool, artificial intelligence system, automated process, or other automated means to access, extract, collect, index, monitor, copy, or harvest information, content, data, or materials from the Services;
- Use the Services to train, develop, improve, or validate any artificial intelligence, machine learning, large language model, or similar system;
- Frame, mirror, archive, or otherwise incorporate any portion of the Services into another website, application, database, platform, or service;
- Remove, obscure, alter, or circumvent any copyright, trademark, watermark, attribution, security feature, proprietary notice, or technological protection measure contained in or associated with the Services;
- Access or use the Services in a manner that interferes with, disrupts, damages, or places an unreasonable burden on the Services or the systems supporting the Services;
- Impersonate any person or entity, misrepresent your identity, affiliation, or authority, or submit materials on behalf of another person without proper authorization; or
- Use the Services in violation of any applicable law, regulation, third-party right, or contractual obligation.
Any unauthorized use of the Services or SugarSnap Content may result in immediate suspension or termination of your access to the Services and may subject you to civil and criminal liability.
2.5 Service Availability SugarSnap Media reserves the right, at any time and in its sole discretion, to modify, suspend, restrict, discontinue, or remove the Services, any feature or functionality of the Services, any submission program, creator opportunity, development initiative, or any portion thereof, with or without notice and without liability to you.
SugarSnap Media does not guarantee that the Services, or any portion thereof, will be available at all times or in all locations. Access to the Services may be interrupted, suspended, or limited from time to time for maintenance, upgrades, security purposes, technical issues, business reasons, or other reasons beyond our control.
Nothing in these Terms shall be construed as creating any obligation on the part of SugarSnap Media to continue operating the Services, maintain any feature or functionality, review any submission, or make any opportunity, program, or initiative available to any user.
2.6 Disclaimer of Availability THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, AS FURTHER DESCRIBED IN THESE TERMS.
WITHOUT LIMITING THE FOREGOING, SUGARSNAP MEDIA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
SUGARSNAP MEDIA FURTHER MAKES NO REPRESENTATION OR WARRANTY THAT ANY IDEA, CONCEPT, STORY, ARTWORK, CREATIVE MATERIAL, OR OTHER SUBMISSION WILL BE REVIEWED, EVALUATED, SELECTED, DEVELOPED, PRODUCED, COMMERCIALIZED, OR OTHERWISE UTILIZED BY SUGARSNAP MEDIA.
SUGARSNAP MEDIA DOES NOT WARRANT THAT ANY PARTICIPANT WILL BE SELECTED FOR A PROGRAM, MATCHED WITH COLLABORATORS, RECEIVE FUNDING OR PRODUCTION SUPPORT, OR BE OFFERED FURTHER DEVELOPMENT OPPORTUNITIES.
3. Trademarks
"SugarSnap Media," the SugarSnap Media name, logos, trademarks, service marks, trade names, product names, program names, slogans, designs, and other brand identifiers, whether registered or unregistered (collectively, the "Trademarks"), are owned by SugarSnap Media or its licensors.
Except as expressly authorized in writing by SugarSnap Media, you may not use, reproduce, display, distribute, publish, modify, or otherwise exploit any Trademark.
You agree not to use any Trademark in any manner that:
- Is likely to cause confusion regarding the source, sponsorship, affiliation, endorsement, or ownership of any product, service, content, or business;
- Dilutes, tarnishes, disparages, misappropriates, or otherwise harms the reputation, goodwill, or distinctiveness of any Trademark; or
- Suggests any affiliation with, sponsorship by, endorsement from, or relationship with SugarSnap Media where none exists.
Without limiting the foregoing, you may not:
- Use any Trademark as part of a company name, business name, domain name, social media account, username, application name, or other identifier;
- Register, reserve, acquire, or attempt to acquire any trademark, service mark, domain name, social media handle, or other identifier that is identical or confusingly similar to any Trademark;
- Copy, imitate, or misappropriate the appearance, branding, trade dress, design elements, or overall look and feel of the Services; or
- Use any Trademark in connection with artificial intelligence systems, training data, advertising, marketing materials, or promotional activities without SugarSnap Media's prior written consent.
All other trademarks, logos, brand names, and service marks appearing on the Services are the property of their respective owners. Reference to any third-party names or marks does not imply any affiliation with, sponsorship by, or endorsement from SugarSnap Media.
4. Information You Provide
4.1 Information You Provide You may provide certain information to SugarSnap Media in connection with your use of the Services, including when you create an account, submit ideas, concepts, stories, artwork, creative materials, or other submissions, communicate with us, participate in programs or opportunities offered through the Services, or otherwise interact with the Services (collectively, "User Information").
You represent and warrant that:
- All User Information you provide is accurate, current, complete, and not misleading;
- You have the legal right and authority to provide such User Information to SugarSnap Media;
- The User Information does not violate any applicable law, regulation, contractual obligation, privacy right, publicity right, intellectual property right, or other right of any third party; and
- You will promptly update any User Information necessary to keep it accurate and current.
SugarSnap Media may rely upon the accuracy and completeness of the User Information you provide and shall have no responsibility or liability arising from inaccurate, incomplete, outdated, or misleading User Information.
4.2 Collection and Use of Information SugarSnap Media may collect information about your use of the Services, including information that you provide directly, information relating to submissions and interactions with the Services, and information collected automatically through your access to and use of the Services.
In addition, third-party platforms, services, analytics providers, authentication providers, payment processors, hosting providers, and other service providers through which you access or interact with the Services may collect information and share information with us in accordance with their own terms, privacy policies, and your settings with such third parties.
Our collection, use, processing, storage, and disclosure of information are governed by our Privacy Policy, which is incorporated into these Terms of Use by reference. By accessing or using the Services, creating an account, or submitting materials through the Services, you acknowledge that you have reviewed and agree to our Privacy Policy.
To the extent permitted by applicable law, SugarSnap Media may use information collected through the Services to operate, maintain, improve, secure, and develop the Services, evaluate submissions, communicate with users, administer programs and opportunities, and otherwise conduct its business operations.
4.3 Privacy Policy Please review our Privacy Policy for more information about how we collect, use, disclose, and safeguard your information.
5. User Accounts
5.1 Account Registration and Accuracy To access certain features of the Services, including submitting content, applying for creator programs, participating in cohorts, development initiatives, collaborative projects, pilot production opportunities, or other opportunities offered through the Services, you may be required to create an account (an "Account").
You agree to provide true, accurate, current, and complete information during the registration, application, and participation processes and to maintain and promptly update such information as necessary to keep it accurate and complete.
You represent and warrant that:
- All information you provide to SugarSnap Media is truthful, accurate, current, complete, and not misleading;
- You will not impersonate any person or entity or misrepresent your identity, affiliation, qualifications, experience, authority, or relationship with any third party;
- Any portfolio materials, credentials, professional experience, creative works, or other information you provide in connection with an application, profile, submission, or participation in a SugarSnap Media program are accurate and lawfully provided; and
- You will promptly notify SugarSnap Media of any material change to information associated with your Account.
SugarSnap Media reserves the right to suspend, restrict, terminate, or reject any Account, application, or participation in a program if it determines that information provided is inaccurate, incomplete, misleading, fraudulent, or otherwise violates these Terms of Use.
5.2 Account Security and Responsibility You are solely responsible for maintaining the confidentiality and security of your Account credentials, including your username, password, and any other authentication credentials associated with your Account. You may not share your Account credentials with any third party or permit any other person to access or use your Account.
You are solely responsible for all activities conducted through your Account, including any submissions, applications, communications, content uploads, participation in creator programs, cohorts, development initiatives, collaborative projects, pilot production opportunities, or other activities conducted through the Services, whether or not authorized by you.
You agree to notify SugarSnap Media immediately upon becoming aware of any unauthorized access to, use of, or activity involving your Account, any loss or compromise of your credentials, or any other breach of security relating to the Services.
SugarSnap Media reserves the right to suspend, restrict, or terminate access to any Account that it reasonably believes has been compromised, is being used in violation of these Terms, or otherwise poses a risk to the Services, users, collaborators, or programs offered through the Services.
SugarSnap Media shall not be liable for any loss, damage, liability, or claim arising from your failure to maintain the security of your Account credentials or from any unauthorized use of your Account.
5.3 Use Restrictions You agree to use your Account and the Services only for lawful purposes and in compliance with these Terms of Use and all applicable laws, regulations, and third-party rights.
You may not:
- Use another user's Account or credentials without authorization;
- Access, use, or attempt to access any portion of the Services, data, submissions, accounts, or materials for which you do not have authorization;
- Use the Services in any manner that could impair, disrupt, damage, interfere with, or place an unreasonable burden on the Services or any systems, networks, or infrastructure supporting the Services;
- Harass, threaten, intimidate, exploit, or otherwise engage in inappropriate conduct toward any user, collaborator, participant, creator, child development expert, contractor, employee, or representative of SugarSnap Media;
- Use the Services to submit, distribute, or transmit any unlawful, infringing, fraudulent, deceptive, defamatory, harmful, or otherwise objectionable content;
- Circumvent, interfere with, or attempt to manipulate any creator selection process, cohort placement, team assignment, development initiative, pilot production opportunity, or other program administered by SugarSnap Media; or
- Use the Services in any manner inconsistent with the intended purpose of the Services or the collaborative and developmental objectives of SugarSnap Media.
SugarSnap Media reserves the right to investigate violations of this Section and to suspend, restrict, remove, or terminate any Account, submission, application, participation, or access to the Services in its sole discretion.
5.4 Suspension and Termination SugarSnap Media reserves the right, in its sole discretion and without notice or liability, to suspend, restrict, terminate, or deny your Account, access to the Services, participation in any creator program, cohort, development initiative, collaborative project, pilot production opportunity, or other activity offered through the Services, at any time and for any reason, including if SugarSnap Media believes that:
- You have violated these Terms of Use or any applicable Additional Terms;
- You have violated applicable law or the rights of any third party;
- Information provided by you is inaccurate, incomplete, misleading, or fraudulent;
- Your conduct is harmful to the Services, SugarSnap Media, other users, collaborators, participants, partners, or third parties; or
- Such action is otherwise necessary to protect the Services, users, programs, business operations, intellectual property, or reputation of SugarSnap Media.
Upon suspension or termination, your right to access and use the Services shall immediately cease. SugarSnap Media may remove, deactivate, restrict access to, or delete your Account and associated information, submissions, applications, communications, or other materials, subject to applicable law and SugarSnap Media's record-retention practices.
Suspension, termination, removal from a program, rejection of an application or submission, or discontinuation of participation shall not create any liability or obligation on the part of SugarSnap Media and shall not entitle you to any compensation, reimbursement, development opportunity, funding, production support, or other benefit.
SugarSnap Media reserves the right to retain records, submissions, communications, and other materials as necessary to comply with legal obligations, enforce these Terms of Use, protect its rights, or operate its business.
5.5 No Obligation to Maintain Accounts SugarSnap Media has no obligation to maintain, preserve, store, host, archive, or make available any Account, User Information, submission, application, portfolio material, project material, communication, content, or other data for any period of time, except as required by applicable law.
You are solely responsible for maintaining your own backup copies of any ideas, concepts, stories, artwork, creative materials, submissions, project files, communications, and other materials that you provide to or access through the Services.
SugarSnap Media may delete, remove, archive, deactivate, or cease making available any Account, submission, application, project material, communication, or other data at any time, with or without notice and without liability, subject to applicable law and SugarSnap Media's record-retention practices.
SUGARSNAP MEDIA MAKES NO REPRESENTATION OR WARRANTY THAT ANY SUBMISSION, APPLICATION, PROJECT MATERIAL, CREATIVE WORK, COMMUNICATION, OR OTHER DATA WILL BE RETAINED, PRESERVED, RETURNED, OR REMAIN ACCESSIBLE FOR ANY PERIOD OF TIME.
6. Acceptable Use
You agree that you will use the Services responsibly, lawfully, and in a manner consistent with the collaborative and developmental objectives of SugarSnap Media.
Without limiting any other restrictions contained in these Terms of Use, you agree that you will not:
- Violate any applicable law, regulation, court order, or third-party right;
- Submit, upload, transmit, distribute, or otherwise make available any content that is unlawful, fraudulent, infringing, defamatory, abusive, harassing, threatening, hateful, obscene, or otherwise objectionable;
- Submit materials that you do not own or have the legal right to submit;
- Misrepresent your identity, qualifications, experience, authority, ownership rights, or affiliation with any person or entity;
- Interfere with, disrupt, damage, impair, or compromise the operation, security, integrity, or functionality of the Services;
- Access or attempt to access accounts, submissions, materials, systems, data, or information that you are not authorized to access;
- Use any automated means, including bots, crawlers, scrapers, spiders, data-mining tools, artificial intelligence systems, or similar technologies, to access, extract, collect, copy, monitor, or harvest information, content, submissions, data, or materials from the Services;
- Use the Services, submissions, creator materials, project materials, or other content available through the Services to train, develop, improve, benchmark, test, or validate any artificial intelligence, machine learning, large language model, or similar technology;
- Circumvent, interfere with, manipulate, or attempt to influence any creator selection process, cohort assignment, collaborator matching process, development initiative, pilot production opportunity, or other program administered by SugarSnap Media;
- Harass, intimidate, threaten, exploit, or otherwise engage in inappropriate conduct toward any user, creator, collaborator, participant, child development expert, contractor, employee, or representative of SugarSnap Media; or
- Use the Services for any purpose that is competitive with, harmful to, or inconsistent with the intended purpose of the Services.
SugarSnap Media reserves the right to investigate any suspected violation of this Section and to take any action it deems appropriate, including removing content, rejecting submissions, disqualifying applicants, removing participants from programs, suspending or terminating accounts, and pursuing any available legal or equitable remedies.
Nothing in these Terms shall limit SugarSnap Media's right to seek injunctive relief, specific performance, damages, or any other remedy available under applicable law.
7. Intellectual Property
7.1 Ownership of the Services and SugarSnap Content The Services and all content, materials, technology, software, functionality, features, designs, graphics, trademarks, logos, audiovisual materials, text, and other materials made available by SugarSnap Media through the Services (collectively, the "SugarSnap Content") are owned by or licensed to SugarSnap Media and are protected by copyright, trademark, trade secret, and other intellectual property laws.
As between you and SugarSnap Media, SugarSnap Media retains all right, title, and interest in and to the Services and the SugarSnap Content. Except for the limited rights expressly granted under these Terms of Use, no right, title, license, or interest in or to the Services or SugarSnap Content is granted, transferred, or assigned to you by implication, estoppel, or otherwise.
7.2 Trademarks All trademarks, service marks, logos, trade names, program names, slogans, and other brand identifiers associated with the Services (collectively, the "Marks") are owned by SugarSnap Media or its licensors. Except as expressly authorized in writing by SugarSnap Media, you may not use, reproduce, display, distribute, modify, register, imitate, or otherwise exploit any Marks. Any unauthorized use of the Marks is strictly prohibited.
7.3 Feedback If you submit, provide, or otherwise make available any feedback, comments, suggestions, ideas, recommendations, improvements, or other input regarding the Services, programs, opportunities, or SugarSnap Content (collectively, "Feedback"), you hereby grant SugarSnap Media a worldwide, perpetual, irrevocable, royalty-free, fully paid-up, transferable, sublicensable, and unrestricted right and license to use, reproduce, modify, adapt, publish, distribute, create derivative works from, and otherwise exploit such Feedback for any purpose, commercial or otherwise, without notice, attribution, or compensation to you.
You represent and warrant that you possess all rights necessary to grant the foregoing license. SugarSnap Media shall have no obligation to use any Feedback.
8. User Content and Data Rights
8.1 User Content In connection with your use of the Services, you may provide account information, profile information, application materials, portfolio information, communications, feedback, and other non-submission materials (collectively, "User Content").
As between you and SugarSnap Media, you retain ownership of your User Content.
By providing User Content through the Services, you grant SugarSnap Media a worldwide, non-exclusive, royalty-free license to use, reproduce, store, process, transmit, display, and otherwise use such User Content solely as reasonably necessary to: (i) operate, provide, maintain, and improve the Services; (ii) administer creator programs, cohorts, development initiatives, collaborative projects, and other opportunities offered through the Services; (iii) communicate with users and participants; (iv) comply with legal obligations; and (v) otherwise exercise its rights and perform its obligations under these Terms of Use and applicable Additional Terms.
For the avoidance of doubt, ownership, licensing, evaluation, and use of ideas, concepts, stories, artwork, scripts, pitches, creative materials, and other submissions provided to SugarSnap Media are governed by the Submission Terms set forth below and not by this Section.
8.2 Representations and Warranties You represent, warrant, and covenant that: (i) you own or otherwise possess all rights, licenses, consents, permissions, and authority necessary to submit, upload, provide, use, and authorize SugarSnap Media to use your User Content, Submissions, and any other materials provided through the Services in accordance with these Terms of Use; (ii) your User Content, Submissions, and other materials do not and will not infringe, misappropriate, or otherwise violate any copyright, trademark, trade secret, patent, right of publicity, right of privacy, contractual right, or other right of any third party; (iii) your User Content, Submissions, and other materials are accurate, lawful, and comply with these Terms of Use and all applicable laws, regulations, and industry standards; (iv) you are not subject to any agreement, obligation, restriction, or commitment that would prevent or impair your ability to submit such materials, participate in the Services, or grant the rights contemplated by these Terms of Use; (v) any materials submitted by you were lawfully created, obtained, and provided to SugarSnap Media; (vi) your participation in any creator program, cohort, development initiative, collaborative project, pilot production opportunity, or other activity offered through the Services will comply with these Terms of Use and any applicable Additional Terms; and (vii) you will not submit any material that is confidential to any third party or that you are not legally entitled to disclose.
SugarSnap Media may rely upon the foregoing representations and warranties and shall have no responsibility to independently verify your ownership rights, authority, permissions, or compliance with applicable laws or third-party obligations.
8.3 Sharing Of Use Content and Program Materials Certain features of the Services may permit SugarSnap Media to share User Content, Submissions, profile information, portfolio materials, project materials, and other content with SugarSnap Media personnel, evaluators, child development experts, collaborators, program participants, contractors, service providers, or other third parties as reasonably necessary to administer the Services, evaluate submissions, facilitate creator matching, operate creator programs, support collaborative projects, produce pilot content, and otherwise carry out the purposes of the Services.
You acknowledge and agree that participation in creator programs, cohorts, development initiatives, collaborative projects, pilot production opportunities, and related activities may require the sharing of certain User Content, Submissions, profile information, portfolio materials, and project materials with other participants and collaborators involved in such activities.
SugarSnap Media reserves the right, but not the obligation, to review, monitor, screen, remove, reject, edit, disable access to, or restrict the use of any User Content, Submission, application, project material, communication, or other content at any time and for any reason, including where SugarSnap Media believes such content violates these Terms of Use, applicable Additional Terms, applicable law, third-party rights, or the objectives of the Services.
Nothing in these Terms of Use obligates SugarSnap Media to host, display, distribute, publish, review, evaluate, maintain, or preserve any User Content, Submission, project material, or other content.
9. Submission Terms
9.1 Definition of Submissions For purposes of these Terms of Use, "Submissions" means any ideas, concepts, stories, characters, artwork, illustrations, scripts, treatments, pitches, decks, presentations, audiovisual materials, creative materials, project proposals, pilot concepts, and other content or materials submitted, uploaded, transmitted, shared, or otherwise provided to SugarSnap Media through the Services.
9.2 Ownership of Submissions As between you and SugarSnap Media, and subject to any separate written agreement between you and SugarSnap Media, you retain ownership of your Submissions.
Except for the rights expressly granted in these Terms of Use, nothing herein transfers ownership of any Submission to SugarSnap Media.
9.3 License to Evaluate and Administer Programs By submitting a Submission through the Services, you grant SugarSnap Media a worldwide, non-exclusive, royalty-free license to use, reproduce, store, display, transmit, distribute internally, evaluate, analyze, review, and otherwise use the Submission solely as reasonably necessary to: (i) operate and administer the Services; (ii) evaluate, review, and consider Submissions; (iii) facilitate creator matching, collaboration, and program administration; (iv) share Submissions with employees, contractors, advisors, evaluators, child development experts, collaborators, service providers, and other persons involved in evaluating or administering the Services; and (v) otherwise exercise SugarSnap Media's rights and perform its obligations under these Terms of Use.
9.4 No Confidentiality You acknowledge and agree that Submissions are submitted on a non-confidential basis.
SugarSnap Media does not undertake any obligation of confidentiality with respect to any Submission unless expressly agreed in a separate written agreement signed by an authorized representative of SugarSnap Media.
You should not submit any information that you consider confidential, proprietary, or sensitive unless and until a separate written confidentiality agreement has been executed by SugarSnap Media.
9.5 No Obligation to Review or Respond SugarSnap Media has no obligation to review, evaluate, acknowledge receipt of, respond to, comment upon, return, preserve, or maintain any Submission.
SugarSnap Media may review, reject, remove, disregard, archive, or delete any Submission at any time and for any reason.
9.6 No Obligation to Develop or Commercialize Submission of materials to SugarSnap Media does not create any obligation on the part of SugarSnap Media to develop, finance, option, acquire, purchase, produce, distribute, commercialize, represent, market, promote, or otherwise exploit any Submission.
Participation in the Services does not guarantee selection for any creator program, cohort, development initiative, collaborative project, pilot production opportunity, or future opportunity.
9.7 Independent Development You acknowledge that SugarSnap Media, its affiliates, users, participants, collaborators, employees, contractors, advisors, and other third parties may currently be developing, have developed, or may in the future develop concepts, stories, characters, artwork, audiovisual works, formats, projects, or other materials that are similar to all or part of your Submission.
Nothing in these Terms of Use shall restrict or limit SugarSnap Media's right to develop, acquire, produce, distribute, finance, license, exploit, or otherwise use any materials that are independently created, obtained, developed, or acquired without use of your protected expression.
9.8 Similarity Acknowledgement and Waiver You acknowledge that many ideas, concepts, themes, plots, formats, characters, story elements, artistic styles, and creative expressions may be similar to materials submitted by others.
Accordingly, you agree that you will not be entitled to compensation or other relief solely because any project, content, program, production, or other material developed, produced, financed, distributed, or exploited by SugarSnap Media or any third party is similar to your Submission.
Nothing in this Section limits any rights you may have under applicable copyright law with respect to actual unlawful copying of protectable expression.
9.9 No Compensation You acknowledge and agree that no compensation, payment, credit, royalty, ownership interest, participation, or other consideration shall be due or payable in connection with any Submission unless expressly set forth in a separate written agreement executed by SugarSnap Media.
9.10 Separate Agreement Required Any acquisition, option, purchase, development, production, financing, licensing, representation, commercialization, or other exploitation of any Submission shall require a separate written agreement executed by SugarSnap Media and the applicable rights holder(s).
No course of conduct, communication, review, participation in a program, or other activity shall create any implied agreement or obligation on the part of SugarSnap Media.
10. Creator Programs and Collaborative Development
10.1 Creator Programs SugarSnap Media may, in its sole discretion, offer creator programs, cohorts, development initiatives, collaborative projects, pilot production opportunities, mentorship opportunities, funding opportunities, and other programs (collectively, "Programs").
Participation in any Program is voluntary and subject to these Terms of Use and any applicable Additional Terms.
10.2 Application and Selection Submission of an application, Submission, profile, portfolio, or other materials does not guarantee acceptance into any Program.
SugarSnap Media reserves the right, in its sole discretion, to accept, reject, suspend, remove, or discontinue participation of any applicant or participant at any time and for any reason, with or without notice.
10.3 Collaborator Matching SugarSnap Media may facilitate introductions, team formation, collaborator matching, and other opportunities for participants to work together.
SugarSnap Media does not guarantee that any participant will be matched with collaborators or that any collaboration will be successful, productive, compatible, or free from disputes.
Participants are solely responsible for evaluating potential collaborators and determining whether to participate in any collaborative activity.
10.4 Program Resources and Support SugarSnap Media may, in its sole discretion, provide funding, production support, coaching, mentorship, creative guidance, development support, distribution support, analytics, educational materials, or other resources in connection with a Program.
Unless expressly provided in a separate written agreement, no participant shall have any entitlement to any particular amount of funding, support, resources, services, development opportunities, distribution opportunities, or future opportunities.
SugarSnap Media may modify, reduce, discontinue, or reallocate any Program resources at any time.
10.5 Participant Conduct Participants shall conduct themselves professionally and respectfully in connection with all Programs and interactions with other participants, collaborators, advisors, child development experts, contractors, and representatives of SugarSnap Media.
SugarSnap Media may remove any participant whose conduct it determines, in its sole discretion, to be disruptive, inappropriate, harmful, unlawful, or inconsistent with the objectives of the applicable Program.
10.6 Co-Posting and Promotional Activities Participation in certain Programs may require participants to cooperate with reasonable promotional, marketing, publicity, social media, distribution, audience development, or co-posting activities associated with the Program or any resulting project.
Specific promotional obligations, if any, may be set forth in applicable Additional Terms or separate written agreements.
10.7 Name, Image, Likeness, and Biographical Information In connection with participation in a Program, you grant SugarSnap Media a non-exclusive, worldwide, royalty-free license to use your name, professional name, likeness, image, voice, photograph, biography, profile information, and approved promotional materials solely for purposes of administering, promoting, publicizing, marketing, and documenting the Services and Programs.
SugarSnap Media shall have no obligation to use any such materials. While SugarSnap Media is not obligated to provide advance notice or obtain additional approval for each such use, SugarSnap Media generally intends to notify you when your name, likeness, or other promotional materials will be featured in marketing or promotional content, where reasonably practicable.
10.8 No Guarantee of Development or Success SugarSnap Media does not guarantee that any Program participant, Submission, project, pilot, concept, story, character, artwork, audiovisual work, or other creative material will:
- be selected;
- receive funding;
- receive production support;
- be developed;
- be produced;
- be distributed;
- be commercialized;
- achieve any level of audience engagement or commercial success; or
- receive any future opportunity.
SUGARSNAP MEDIA DOES NOT WARRANT THAT ANY PARTICIPANT WILL BE SELECTED FOR A PROGRAM, MATCHED WITH COLLABORATORS, RECEIVE FUNDING OR PRODUCTION SUPPORT, OR BE OFFERED FURTHER DEVELOPMENT OPPORTUNITIES.
10.9 Ownership of Collaborative Projects Participation in a Program, collaborative project, pilot production opportunity, cohort, or development initiative shall not, by itself, determine ownership of any intellectual property, creative materials, project materials, pilot, audiovisual work, derivative work, character, format, or other rights.
Ownership of any project developed through a Program shall be governed solely by any applicable written agreement entered into among the relevant participants and/or SugarSnap Media.
Absent a separate written agreement, SugarSnap Media makes no representation or warranty regarding ownership, authorship, credit, revenue participation, exploitation rights, derivative rights, or other rights relating to any collaborative project.
10.10 Participant Disputes SugarSnap Media is not responsible for resolving disputes among participants, collaborators, contributors, advisors, contractors, or other third parties relating to authorship, ownership, credit, compensation, revenue participation, creative contributions, intellectual property rights, or other matters.
Participants are solely responsible for entering into any agreements necessary to govern their relationships and rights with one another.
10.11 Program Changes and Discontinuation SugarSnap Media may modify, suspend, discontinue, restructure, postpone, or terminate any Program, in whole or in part, at any time and without liability.
Participation in a Program does not create any right to continued participation, future opportunities, funding, development, production, distribution, employment, representation, management, or compensation.
11. AI Tools and Third-Party Creative Technologies
11.1 Use of AI and Third-Party Tools Participants may utilize artificial intelligence tools, animation tools, voice-generation tools, image-generation tools, editing software, production software, and other third-party technologies (collectively, "Creative Tools") in connection with their participation in the Services or any Program.
You are solely responsible for your use of any Creative Tools and for complying with all applicable terms, licenses, policies, and restrictions governing such tools.
11.2 Rights Clearance and Compliance You represent and warrant that any materials submitted, uploaded, created, modified, or otherwise provided by you through the Services, whether generated wholly or partially through the use of Creative Tools, may be lawfully used, submitted, shared, displayed, and exploited in accordance with these Terms of Use.
You are solely responsible for obtaining any permissions, licenses, consents, releases, approvals, or other rights necessary for your use of any Creative Tools and any resulting materials.
11.3 No Responsibility for Third-Party Tools SugarSnap Media does not control and is not responsible for the operation, availability, legality, performance, reliability, outputs, training data, intellectual property practices, privacy practices, security, or terms of any Creative Tool.
Any use of Creative Tools is at your own risk.
11.4 No Representation Regarding Intellectual Property Status SugarSnap Media makes no representation or warranty regarding:
- the ownership of AI-generated content;
- the copyrightability of AI-generated content;
- the availability of intellectual property protection for AI-generated content;
- the non-infringing nature of AI-generated content; or
- the legality or enforceability of rights relating to AI-generated content.
Participants are solely responsible for evaluating and managing any legal risks associated with the use of Creative Tools.
11.5 Program Requirements SugarSnap Media may establish, modify, or enforce requirements, restrictions, disclosure obligations, or guidelines regarding the use of Creative Tools in connection with any Program.
Participants agree to comply with any such requirements communicated by SugarSnap Media.
11.6 No Endorsement The Services may reference, integrate with, or permit the use of Creative Tools. Such references do not constitute an endorsement, sponsorship, recommendation, or approval of any Creative Tool by SugarSnap Media.
12. Copyright Policy (DMCA)
SugarSnap Media respects the intellectual property rights of others and expects all users, applicants, participants, collaborators, and visitors to the Services to do the same.
SugarSnap Media will respond to notices of alleged copyright infringement that comply with the requirements of the Digital Millennium Copyright Act ("DMCA") and other applicable intellectual property laws. SugarSnap Media also reserves the right to investigate and address claims involving alleged trademark infringement, rights of publicity, rights of privacy, misappropriation, or other violations of intellectual property or proprietary rights.
In appropriate circumstances and at SugarSnap Media's sole discretion, SugarSnap Media may remove, disable access to, reject, restrict, or terminate access to any User Content, Submission, project material, Account, or other content alleged to infringe the rights of a third party.
Nothing in this Section shall obligate SugarSnap Media to adjudicate ownership disputes between users or determine the validity of competing claims of ownership or authorship.
12.1 Notification of Claimed Infringement If you believe that any content, Submission, project material, or other material available on or through the Services infringes your copyright or other intellectual property rights, you may submit a written notification to SugarSnap Media's designated agent that includes the following information:
- Your physical or electronic signature;
- Identification of the copyrighted work or other intellectual property claimed to have been infringed, or, if multiple works are covered by a single notification, a representative list of such works;
- Identification of the material that is claimed to be infringing or the subject of infringing activity, together with information reasonably sufficient to permit SugarSnap Media to locate the material, including, where applicable, URLs, user names, project names, submission identifiers, or other relevant information;
- Your name, mailing address, telephone number, and email address;
- A statement that you have a good-faith belief that the disputed use is not authorized by the intellectual property owner, its agent, or the law; and
- A statement, under penalty of perjury, that the information contained in the notification is accurate and that you are the owner of the allegedly infringed intellectual property right or are authorized to act on behalf of the owner.
Incomplete or deficient notices may not receive a response or may be rejected.

12.3 Counter-Notification If you believe that any content, Submission, project material, or other material that you provided through the Services was removed, disabled, restricted, or otherwise made unavailable as a result of mistake or misidentification, you may submit a written counter-notification that includes:
- Your physical or electronic signature;
- Identification of the material that has been removed, disabled, restricted, or made unavailable, and the location at which the material appeared before such action was taken;
- A statement, under penalty of perjury, that you have a good-faith belief that the material was removed, disabled, restricted, or made unavailable as a result of mistake or misidentification;
- Your name, mailing address, telephone number, and email address; and
- A statement that you consent to the jurisdiction of the federal court located in the judicial district in which your address is located, or, if your address is outside the United States, that you consent to the jurisdiction of any court in which SugarSnap Media may be found, and that you will accept service of process from the person who submitted the original notification or that person's agent.
Upon receipt of a valid counter-notification, SugarSnap Media may restore, reinstate, or otherwise make the applicable material available in accordance with the DMCA and other applicable law, unless the original complaining party initiates legal proceedings seeking to restrain such restoration.
SugarSnap Media reserves the right to remove, disable, restrict, or decline to restore any material where permitted by applicable law or where SugarSnap Media reasonably believes such action is necessary to protect the Services, users, participants, collaborators, intellectual property rights, or business interests of SugarSnap Media.
12.4 Repeat Infringer Policy In accordance with the DMCA and other applicable law, SugarSnap Media maintains a policy of terminating, in appropriate circumstances and at its sole discretion, users who are deemed to be repeat infringers.
12.5 Misrepresentations Any person who knowingly materially misrepresents that material or activity is infringing, or that it was removed or disabled by mistake or misidentification, may be subject to liability under applicable law.
13. Acceptable Use and Prohibited Conduct
SugarSnap Media is committed to maintaining a constructive, collaborative, professional, and respectful environment for creators, participants, collaborators, child development experts, contractors, and other users of the Services.
In addition to all other restrictions contained in these Terms of Use, you agree that you will not:
Misuse of the Services
- Use the Services for any unlawful, fraudulent, deceptive, harmful, or unauthorized purpose;
- Submit materials that you do not own or have the legal right to submit;
- Circumvent, interfere with, or attempt to manipulate any creator selection process, cohort assignment, collaborator matching process, development initiative, pilot production opportunity, or other program administered by SugarSnap Media;
- Access, collect, harvest, copy, scrape, download, or use submissions, project materials, creator information, participant information, or other content available through the Services except as expressly authorized by SugarSnap Media;
- Use the Services, submissions, creator materials, project materials, or other content available through the Services to train, develop, improve, benchmark, test, or validate any artificial intelligence, machine learning, large language model, or similar technology.
Improper Conduct
- Harass, threaten, intimidate, discriminate against, exploit, abuse, or otherwise engage in inappropriate conduct toward any user, participant, collaborator, child development expert, contractor, employee, or representative of SugarSnap Media;
- Impersonate any person or entity or misrepresent your identity, qualifications, affiliations, experience, ownership rights, or authority;
- Submit, distribute, or make available any content that is unlawful, infringing, defamatory, fraudulent, abusive, hateful, obscene, sexually explicit, discriminatory, or otherwise objectionable;
- Engage in fraud, scams, phishing, deceptive practices, or other dishonest conduct.
System Integrity
- Interfere with, disrupt, damage, impair, or gain unauthorized access to the Services or any systems, servers, accounts, networks, infrastructure, or data associated with the Services;
- Introduce viruses, malware, ransomware, malicious code, or other harmful technologies into or through the Services;
- Attempt to bypass security measures, authentication controls, access restrictions, or other safeguards implemented by SugarSnap Media.
Enforcement
SugarSnap Media reserves the right, in its sole discretion, to investigate any suspected violation of this Section and to take any action it deems appropriate, including removing content, rejecting submissions, disqualifying applicants, removing participants from programs, suspending or terminating Accounts, restricting access to the Services, and pursuing any legal or equitable remedies available under applicable law.
14. Disclaimers
"AS IS" and "AS AVAILABLE"
THE SERVICES, PROGRAMS, OPPORTUNITIES, SUBMISSIONS PROCESS, CREATOR PROGRAMS, COHORTS, DEVELOPMENT INITIATIVES, PILOT PRODUCTION OPPORTUNITIES, AND ALL CONTENT AND MATERIALS MADE AVAILABLE THROUGH THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SUGARSNAP MEDIA DISCLAIMS ALL WARRANTIES, INCLUDING: (i) ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR QUIET ENJOYMENT; (ii) ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE, OR TRADE PRACTICE; and (iii) ANY WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, AVAILABLE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
No Guarantee of Selection, Development, or Success
SUGARSNAP MEDIA DOES NOT WARRANT, REPRESENT, OR GUARANTEE THAT:
- Any submission will be reviewed, evaluated, selected, accepted, developed, produced, financed, distributed, commercialized, or otherwise utilized;
- Any user will be selected for a creator program, cohort, development initiative, collaborative project, pilot production opportunity, or other opportunity offered through the Services;
- Any participant will be matched with collaborators or receive funding, production support, coaching, distribution support, audience development support, or further development opportunities;
- Any pilot, project, concept, story, character, artwork, or creative material will achieve any particular level of audience engagement, commercial success, viewership, distribution, financing, licensing, production, or other result;
- Any information, content, materials, analysis, recommendations, feedback, or guidance provided through the Services is accurate, complete, reliable, current, or suitable for any particular purpose; or
- The Services will meet your expectations or requirements.
Collaborative Activities
SUGARSNAP MEDIA MAKES NO REPRESENTATION OR WARRANTY REGARDING THE CONDUCT, PERFORMANCE, QUALIFICATIONS, SKILLS, AVAILABILITY, RELIABILITY, OR ACTIONS OF ANY USER, PARTICIPANT, COLLABORATOR, CHILD DEVELOPMENT EXPERT, CONTRACTOR, OR OTHER THIRD PARTY INVOLVED IN THE SERVICES OR ANY PROGRAM.
ANY COLLABORATION, COMMUNICATION, OR INTERACTION WITH OTHER PARTICIPANTS IS UNDERTAKEN AT YOUR OWN RISK.
Third-Party Services
THE SERVICES MAY INCLUDE OR PROVIDE ACCESS TO THIRD-PARTY PLATFORMS, SOFTWARE, TOOLS, AI SERVICES, DISTRIBUTION CHANNELS, SOCIAL MEDIA PLATFORMS, PAYMENT PROVIDERS, OR OTHER THIRD-PARTY SERVICES. SUGARSNAP MEDIA DOES NOT CONTROL, ENDORSE, OR ASSUME RESPONSIBILITY FOR ANY THIRD-PARTY SERVICE AND MAKES NO WARRANTIES WITH RESPECT THERETO.
Jurisdictional Limitations
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. TO THE EXTENT SUCH LAWS APPLY, SOME OR ALL OF THE FOREGOING DISCLAIMERS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

No Control or Endorsement SugarSnap Media does not own, control, endorse, operate, or assume responsibility for any Third-Party Services, including their content, functionality, availability, performance, security, privacy practices, terms of use, or business practices. The availability of any Third-Party Service through or in connection with the Services does not imply any affiliation with, sponsorship by, or endorsement from SugarSnap Media.
Independent Terms and Policies Your access to and use of any Third-Party Service is governed solely by the applicable third party's terms, conditions, policies, and practices. You are solely responsible for reviewing and complying with such terms and policies. SugarSnap Media is not a party to any agreement between you and a third-party provider and assumes no responsibility or liability arising therefrom.
Use at Your Own Risk You access and use Third-Party Services entirely at your own risk. Data Sharing If you choose to connect, authorize, access, or use any Third-Party Service in connection with the Services, you acknowledge and agree that information and data may be shared between SugarSnap Media and such Third-Party Service as necessary to facilitate the requested functionality. Any collection, use, storage, disclosure, or processing of information by a Third-Party Service is governed by that third party's privacy policies and practices, and not by SugarSnap Media.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUGARSNAP MEDIA, ITS AFFILIATES, AND ITS AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SERVICE PROVIDERS, PROGRAM PARTICIPANTS, COLLABORATORS, CHILD DEVELOPMENT EXPERTS, AND REPRESENTATIVES (COLLECTIVELY, THE "SUGARSNAP MEDIA PARTIES") SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF GOODWILL, LOSS OF DATA, LOSS OF CONTENT, LOSS OF SUBMISSIONS, LOSS OF PROJECT MATERIALS, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THESE TERMS OF USE, THE SERVICES, OR ANY PROGRAM OR OPPORTUNITY OFFERED THROUGH THE SERVICES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE SUGARSNAP MEDIA PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OF USE, THE SERVICES, ANY SUBMISSION, ANY CREATOR PROGRAM, COHORT, DEVELOPMENT INITIATIVE, COLLABORATIVE PROJECT, PILOT PRODUCTION OPPORTUNITY, OR OTHER ACTIVITY OFFERED THROUGH THE SERVICES SHALL NOT EXCEED THE GREATER OF: (I) ONE HUNDRED U.S. DOLLARS (US$100); OR (II) THE TOTAL AMOUNT PAID BY YOU TO SUGARSNAP MEDIA DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
WITHOUT LIMITING THE FOREGOING, THE SUGARSNAP MEDIA PARTIES SHALL NOT BE LIABLE FOR ANY CLAIM ARISING FROM OR RELATING TO:
- The review, evaluation, rejection, acceptance, removal, development, non-development, production, non-production, commercialization, or non-commercialization of any Submission;
- Any decision regarding participation in a creator program, cohort, development initiative, collaborative project, pilot production opportunity, or other opportunity;
- Any collaborator matching, team assignment, participant selection, participant removal, or program administration decision;
- Any dispute between users, participants, collaborators, contributors, or third parties;
- The conduct, acts, omissions, qualifications, performance, availability, or actions of any user, participant, collaborator, contractor, child development expert, or other third party;
- Any audience engagement, commercial performance, distribution outcome, financing opportunity, licensing opportunity, production opportunity, or development opportunity;
- Any unauthorized access to, use of, disclosure of, alteration of, or loss of data, submissions, project materials, or other content;
- Any interruption, delay, error, suspension, modification, or discontinuation of the Services; or
- Any Third-Party Services, platforms, software, tools, social media services, AI tools, hosting providers, analytics providers, or other third-party products or services.
YOU ACKNOWLEDGE AND AGREE THAT THE DISCLAIMERS, EXCLUSIONS, AND LIMITATIONS OF LIABILITY SET FORTH IN THESE TERMS OF USE ARE A FUNDAMENTAL BASIS OF THE AGREEMENT BETWEEN YOU AND SUGARSNAP MEDIA AND THAT SUGARSNAP MEDIA WOULD NOT MAKE THE SERVICES AVAILABLE WITHOUT SUCH LIMITATIONS.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES OR LIABILITIES. TO THE EXTENT SUCH LAWS APPLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.
18. Indemnification
You agree to defend, indemnify, and hold harmless SugarSnap Media, its affiliates, and its and their respective officers, directors, employees, contractors, agents, licensors, service providers, child development experts, collaborators, program administrators, and representatives (collectively, the "SugarSnap Media Indemnified Parties") from and against any and all claims, demands, actions, suits, proceedings, investigations, liabilities, damages, judgments, settlements, losses, costs, and expenses (including reasonable attorneys' fees and costs) arising out of or relating to:
- Your access to, use of, misuse of, or participation in the Services;
- Your User Content, Submissions, project materials, portfolio materials, applications, communications, or other materials submitted, uploaded, provided, or made available by you;
- Any allegation that your User Content, Submissions, project materials, or other materials infringe, misappropriate, or otherwise violate any intellectual property right, right of publicity, right of privacy, contractual right, trade secret, or other right of any person or entity;
- Your violation of these Terms of Use, any Additional Terms, or any applicable law, rule, regulation, or industry standard;
- Your breach of any representation, warranty, covenant, or obligation under these Terms of Use;
- Your participation in any creator program, cohort, development initiative, collaborative project, pilot production opportunity, or other activity offered through the Services;
- Any dispute between you and any user, creator, participant, collaborator, contractor, child development expert, rights holder, or third party;
- Your use of any third-party software, platform, service, AI tool, animation tool, voice service, distribution platform, or other Third-Party Service;
- Any failure by you to obtain necessary permissions, licenses, consents, approvals, releases, assignments, waivers, or other rights relating to any materials submitted or used by you; or
- Any negligent, wrongful, unlawful, fraudulent, misleading, or intentional act or omission by you.
SugarSnap Media reserves the right, at your expense and upon notice to you, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate fully in the defense of any such matter.
You may not settle any claim subject to this Section without SugarSnap Media's prior written consent if such settlement would impose any liability, obligation, admission, restriction, or other adverse consequence upon any SugarSnap Media Indemnified Party.
This indemnification obligation shall survive the suspension or termination of your Account, your participation in any program, and the expiration or termination of these Terms of Use.
19. Governing Law, Dispute Resolution and Arbitration
19.1 Governing Law These Terms of Use and any dispute, claim, controversy, or cause of action arising out of or relating to the Services, any Submission, any creator program, any collaborative project, or these Terms of Use (collectively, "Disputes") shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles, except that the Federal Arbitration Act ("FAA") shall govern the interpretation, enforcement, and proceedings relating to any arbitration provisions contained herein.
19.2 Informal Dispute Resolution Before initiating any arbitration, legal proceeding, or other formal dispute resolution process, you and SugarSnap Media agree to first attempt to resolve any Dispute informally and in good faith.
A party seeking to initiate a Dispute must first provide written notice to the other party (a "Dispute Notice"). The Dispute Notice must include: (i) the claimant's name and contact information; (ii) a description of the nature and basis of the Dispute; (iii) the specific facts giving rise to the Dispute; and (iv) the relief sought.
Any Dispute Notice to SugarSnap Media must be sent to the contact address or email address designated by SugarSnap Media for legal notices. Any Dispute Notice to you may be sent using the contact information associated with your Account.
The parties agree to use good-faith efforts to resolve the Dispute for a period of thirty (30) days following receipt of a Dispute Notice. During this period, the parties may communicate and exchange information in an effort to resolve the Dispute without formal proceedings.
No arbitration demand or court proceeding may be initiated until the informal dispute resolution process described in this Section has been completed, except where a party seeks temporary, preliminary, or injunctive relief to prevent immediate and irreparable harm.
19.3 Binding Arbitration If a Dispute is not resolved through the informal dispute resolution process described above, such Dispute shall be resolved exclusively by final and binding arbitration administered by JAMS in accordance with its Comprehensive Arbitration Rules and Procedures then in effect; provided, however, that if a Dispute qualifies as a consumer dispute, the arbitration shall be administered in accordance with the applicable JAMS consumer arbitration rules and policies.
The arbitration shall be conducted before a single arbitrator selected in accordance with the applicable JAMS rules. The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, formation, scope, or validity of this arbitration agreement, including any claim that all or any portion of this arbitration agreement is void, voidable, unconscionable, unenforceable, or otherwise invalid.
The seat and legal place of arbitration shall be New York, New York. Unless otherwise agreed by the parties or directed by the arbitrator, the arbitration shall be conducted in New York County, New York. The arbitrator may permit all or part of the proceedings to occur remotely, by videoconference, or through other electronic means.
The arbitrator shall have the authority to award any remedy available under applicable law or in equity, subject to the limitations and exclusions set forth in these Terms of Use. The arbitrator shall issue a reasoned written decision setting forth the essential findings and conclusions upon which the award is based.
Judgment upon any arbitration award may be entered and enforced in any court of competent jurisdiction.
19.4 Arbitration Location and Procedure Unless otherwise required by applicable law, agreed by the parties, or directed by the arbitrator, any arbitration shall be conducted in New York County, New York.
The arbitration may be conducted in person, remotely by videoconference or similar technology, through a combination of in-person and remote proceedings, or solely on written submissions, as determined by the arbitrator in accordance with the applicable JAMS rules and the circumstances of the Dispute.
The arbitrator shall have discretion to manage the proceedings in a manner that promotes the efficient and cost-effective resolution of the Dispute, including establishing reasonable schedules for discovery, motion practice, hearings, and briefing.
Each party shall bear its own attorneys' fees and costs except as otherwise required by applicable law, provided by these Terms of Use, or awarded by the arbitrator pursuant to applicable law.
19.5 Class Action and Jury Trial Waiver TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND SUGARSNAP MEDIA AGREE THAT ANY DISPUTE SHALL BE BROUGHT AND RESOLVED SOLELY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, CLASS MEMBER, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED ACTION, MASS ACTION, REPRESENTATIVE ACTION, OR OTHER PROCEEDING INVOLVING CLAIMS OF MULTIPLE PARTIES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE ARBITRATOR SHALL HAVE NO AUTHORITY TO CONSOLIDATE CLAIMS OF DIFFERENT PERSONS OR ENTITIES, PRESIDE OVER ANY FORM OF CLASS, COLLECTIVE, MASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING, OR AWARD RELIEF TO ANY PERSON OR ENTITY OTHER THAN THE INDIVIDUAL PARTY SEEKING RELIEF.
YOU AND SUGARSNAP MEDIA EACH ACKNOWLEDGE AND AGREE THAT, ABSENT THIS WAIVER, EITHER PARTY MAY HAVE HAD THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. EACH PARTY KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVES ANY SUCH RIGHT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND SUGARSNAP MEDIA FURTHER WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THESE TERMS OF USE, THE SERVICES, ANY SUBMISSION, ANY CREATOR PROGRAM, ANY COLLABORATIVE PROJECT, OR ANY DISPUTE BETWEEN THE PARTIES.
IF ANY PORTION OF THIS CLASS ACTION WAIVER IS DETERMINED TO BE UNENFORCEABLE WITH RESPECT TO A PARTICULAR CLAIM OR REQUEST FOR RELIEF, THEN THAT CLAIM OR REQUEST FOR RELIEF SHALL BE SEVERED AND PROCEED IN A COURT OF COMPETENT JURISDICTION, AND THE REMAINDER OF THIS ARBITRATION AGREEMENT SHALL CONTINUE IN FULL FORCE AND EFFECT.
19.6 Exceptions; Injunctive Relief Notwithstanding anything in these Terms of Use to the contrary, SugarSnap Media may seek temporary, preliminary, emergency, or permanent injunctive relief, specific performance, equitable relief, or other non-monetary remedies in any court of competent jurisdiction to protect its intellectual property, confidential information, trademarks, copyrights, trade secrets, proprietary rights, Services, Programs, Submissions, platform integrity, or other legitimate business interests.
Without limitation, SugarSnap Media may seek such relief in connection with:
- Actual or threatened infringement, misappropriation, or violation of intellectual property rights;
- Unauthorized use of the Services, Programs, SugarSnap Content, Marks, Submissions, project materials, or other proprietary materials;
- Unauthorized access to the Services, systems, networks, or data;
- Scraping, harvesting, extraction, or misuse of information or content available through the Services;
- Circumvention of security measures or access controls;
- Violations of the restrictions set forth in these Terms of Use; or
- Any conduct that may cause immediate or irreparable harm to SugarSnap Media or its users, participants, collaborators, licensors, or partners.
You acknowledge and agree that a breach of these Terms of Use may cause irreparable harm for which monetary damages alone may be an inadequate remedy and that SugarSnap Media shall be entitled to seek equitable relief without the necessity of posting a bond or proving actual damages to the extent permitted by applicable law.
The pursuit of injunctive or equitable relief shall not constitute a waiver of any right to arbitrate or otherwise pursue claims under these Terms of Use.
19.7 Opt-Out Right You may opt out of this arbitration agreement and class action waiver by providing written notice to _____________ within thirty (30) days of first accepting these Terms.
Your opt-out notice must include your name and a clear statement that you wish to opt out of arbitration. If you opt out, neither party will be bound by this Section 17.
19.8 Survival and Severability This Section shall survive termination of these Terms. If any portion of this Section is found to be unenforceable, the remaining provisions shall remain in full force and effect, except that if the class action waiver is found unenforceable, the arbitration provision shall be null and void.
20. Termination; Electronic Communications
20.1 Termination and Suspension SugarSnap Media may, at any time and in its sole discretion, suspend, restrict, terminate, or deny your access to the Services, your Account, any Submission, any creator program, cohort, development initiative, collaborative project, pilot production opportunity, or any other activity offered through the Services, with or without notice and without liability.
Without limiting the foregoing, SugarSnap Media may take such action if it determines that:
- You have violated these Terms of Use, any Additional Terms, or applicable law;
- Information provided by you is inaccurate, incomplete, misleading, or fraudulent;
- Your conduct is harmful to the Services, SugarSnap Media, other users, collaborators, participants, partners, or third parties;
- Your participation is inconsistent with the objectives, standards, or requirements of a creator program, cohort, development initiative, collaborative project, or other opportunity; or
- Such action is otherwise necessary to protect the Services, users, intellectual property, business operations, or reputation of SugarSnap Media.
You may terminate your Account at any time by following any account deletion or cancellation procedures made available through the Services.
Termination, suspension, removal from a program, rejection of an application or Submission, or discontinuation of participation shall not entitle you to any compensation, reimbursement, development opportunity, funding, production support, distribution support, or other benefit unless expressly provided in a separate written agreement executed by SugarSnap Media.
20.2 Effect of Termination Upon termination or suspension:
- Your right to access and use the Services shall immediately cease;
- SugarSnap Media may deactivate, restrict, remove, archive, or delete your Account and associated information, subject to applicable law and its record-retention practices;
- Any licenses granted by you to SugarSnap Media under these Terms that by their nature are intended to survive shall remain in effect; and
- Any provisions of these Terms that by their nature should survive termination shall survive, including provisions relating to intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and survival.
20.3 Survival Any provisions of these Terms that by their nature should survive termination shall survive, including, without limitation, provisions relating to intellectual property, licenses granted by you, disclaimers, limitation of liability, indemnification, dispute resolution, arbitration, and any accrued rights or obligations.
20.4 Electronic Communications Consent (E-SIGN) By accessing or using the Services, creating an Account, submitting materials, applying to programs, or otherwise communicating with SugarSnap Media electronically, you consent to receive communications from SugarSnap Media electronically, including by email, through the Services, or through other electronic means.
You agree that all agreements, notices, disclosures, consents, communications, and other information that SugarSnap Media provides electronically satisfy any legal requirement that such communications be in writing.
20.5 Transactional Communications You acknowledge and agree that certain communications are necessary for the operation of the Services and your account, including, without limitation, account notifications, billing statements, receipts, service updates, and legal notices ("Transactional Communications").
You may not opt out of receiving Transactional Communications while maintaining an active account.
20.6 Marketing Communications You may also receive marketing and promotional communications from SugarSnap Media, including emails, push notifications, and SMS messages ("Marketing Communications").

21. Miscellaneous
21.1 Entire Agreement These Terms of Use, together with the Privacy Policy, any Additional Terms, creator program terms, participation agreements, submission terms, development agreements, collaboration agreements, and any other documents expressly incorporated herein by reference, constitute the entire agreement between you and SugarSnap Media with respect to the Services and supersede all prior and contemporaneous understandings, agreements, negotiations, discussions, representations, and communications, whether written or oral, relating to the subject matter hereof.
21.2 Assignment You may not assign, transfer, delegate, sublicense, or otherwise transfer any rights or obligations under these Terms of Use without the prior written consent of SugarSnap Media. Any attempted assignment in violation of this Section shall be null and void.
SugarSnap Media may assign, transfer, delegate, or otherwise convey these Terms of Use, in whole or in part, without restriction and without notice, including in connection with a merger, acquisition, financing transaction, corporate reorganization, sale of assets, or similar transaction.

21.4 Severability If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms shall remain in full force and effect.
21.5 No Waiver The failure of SugarSnap Media to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and shall apply only to the specific instance for which it is given.
21.6 Headings Section headings are for convenience only and shall not affect the interpretation of these Terms.
21.7 No Agency or Partnership Nothing contained in these Terms of Use shall be construed to create any partnership, joint venture, agency, fiduciary, employment, management, representation, or other similar relationship between you and SugarSnap Media. Participation in the Services, submission of materials, participation in any creator program, cohort, development initiative, collaborative project, or pilot production opportunity does not create any agency, management, representation, employment, or fiduciary relationship with SugarSnap Media.
21.8 No Third-Party Beneficiaries Except as expressly provided in these Terms of Use, these Terms are solely for the benefit of you and SugarSnap Media and do not create any rights in favor of any third party.
